Grant of Share Options
Cientifica, the AIM quoted investing company focusing on the acquisition of businesses making use of advanced materials, graphene and emerging technologies, announces that share options have today been granted to the directors of the Company (the "Options").
Options over, in aggregate, 2,750,000 new ordinary shares of 0.5p each in the Company ("Ordinary Shares") have been granted and allocated as follows:

Save for the above, the Directors' beneficial interests remain unchanged and as previously announced.
The options are exercisable at 3.68 pence per share, being the average closing middle market price of an Ordinary Share traded on AIM over the twenty trading days immediately prior to the day on which the options were granted.
The Options will vest subject to satisfaction of the following conditions:
· the closing middle market price for an Ordinary Share equals or exceeds 170% of the closing middle market price for an Ordinary Share at the date of grant (being 6.26 pence) for a period of five consecutive trading days; and
· the Company successfully undertakes an acquisition which constitutes a reverse takeover or otherwise successfully implements its investing policy pursuant to Rule 15 of the AIM Rules for Companies.
Subject to vesting, the Options may be exercised between 3 and 10 years after the date of grant.
The Options have been granted to provide Tim Harper, CEO, with incentive to develop Cientifica's business and to the non-executive directors for their work and assistance to the CEO in developing the business and also to provide compensation for the low levels of remuneration which the directors have set at this stage of the Company's development.
Save for the warrants over 3 per cent of the Company's current issued share capital granted to Peterhouse Corporate Finance pursuant to the share placing in October 2013, the Options represent the only options or warrants outstanding over the Company's current issued ordinary share capital.
