Total Voting Rights

In accordance with DTR 5.6.1 the Company announces that as at 31 December 2016 the Company's issued share capital is 254,390,530 ordinary shares of 5p each. The Company does not hold any ordinary shares in treasury.

Therefore, the total number of ordinary shares in the Company with voting rights is 254,390,530. This figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, Crest Nicholson Holdings plc under the FCA's Disclosure Guidance and Transparency Rules.
