Notification of Transactions of Directors/Persons Discharging Managerial Responsibilities
CALGARY, Alberta, 24 February 2014 - Caracal Energy Inc. (the "Company") announces that pursuant to the Company's Long Term Incentive Plan ("LTIP") and Short Term Incentive Plan ("STIP"), on 18 February 2014 the Board of Directors authorized the issue of Share Units to Persons Discharging Managerial Responsibility ("PDMRs") as follows based on a 20 day Volume Weighted Average Price of $7.81 CDN per unit.

(1) STIP Restricted Share Units - Awards have no performance related element and vest one-third annually over three years.
(2) LTIP Performance Share Units - Awards vest at the end of three years based on the achievement of performance conditions (75%) and continued employment (25%).
(3) LTIP Restricted Share Units - Awards have no performance related element and are issued after three years.
(4) LTIP Deferred Share Units - Awards have no performance related element and are issued upon retirement.
In all cases there was no consideration for the award of Share Units and the exercise price is nil.
This announcement is made in accordance with the requirement of DTR3.1.2.
