2008 CAPITALISATION ISSUE andΒ TOTAL VOTING RIGHTS
Guinness Peat Group plcΒ ("GPG") announces that at 5 p.m. on Friday 30 May 2008 it allottedΒ 128,802,902Β Ordinary shares of 5p each ("Shares") in respect of its 2008 Capitalisation Issue. These will be issued on Monday 2 June to its shareholders on theΒ UK, Australian andΒ New ZealandΒ share registers. Of this number,Β 22,735,114Β Shares will initially be registered on theΒ Australian register in the form of CDIs.
Following the allotment in respect of the 2008 Capitalisation Issue, and pursuant toΒ Rule 5.6.1 of the Disclosure and Transparency Rules,Β GPGΒ advises that the total number of its ordinary shares of 5p each in issue as at the date of this notice isΒ 1,416,978,269.
GPGΒ does not hold any shares in treasury.
The total number of voting rights inΒ GPGΒ is thereforeΒ 1,416,978,269. ThisΒ figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required under the Disclosure and Transparency Rules to notify their interest in, or a change to their interest in,Β GPG.
