Result of General Meeting

Acquisition, Placing and Admission

Corero PLC (AIM: CORO, 'Corero', or 'the Group') announces that at the General Meeting held earlier today all resolutions proposed were duly passed.

As a result, the Acquisition of Top Layer Networks, Inc. will become effective immediately following the filing with the Secretary of State of the State of Delaware of the certificate of merger. The Merger is expected to become effective at 7.30 a.m. tomorrow, 2 March 2011.

The Enlarged Group will have businesses with a strong proposition in the international network security market and in the supply of accounting and management information software solutions to the UK education market.

Application has been made for admission to trading on AIM of 47,573,718 Ordinary Shares. The admission to AIM of the Company's Enlarged Issued Share Capital is expected to become effective at 8.00 a.m. tomorrow and dealings in the Enlarged Share Capital will commence immediately thereafter.

Further details of the Acquisition, Placing and Admission are set out in the Company's Admission Document dated 7 February 2011, a copy of which is available on the Company's website www.corero.com. The Admission Document contains further details of the resolutions proposed and duly passed today. The proxy votes cast before the meeting were as follows:

The number of Ordinary Shares (each carrying one vote) in issue on 1 March 2011 was 31,963,434.
