3 April 2007 Corero Plc ("Corero" or the "Company") Additional listing
The Company announces that, following the announcement of the final results for the year ended 31 December 2007, the Company is required to issue 8,720,952 ordinary shares ("Ordinary Shares") in the capital of the Company ("the Deferred Consideration Shares") to satisfy deferred consideration due to Blue Curve Limited ("Blue Curve") under the acquisition agreement entered into at the time of the acquisition of Blue Curve. Blue Curve was acquired in January 2006 at which time it was issued 5,606,060 Ordinary Shares as initial consideration and the Deferred Consideration Shares have been issued in accordance with, and subject to, earn-out provisions which have been achieved.
The Deferred Consideration Shares will rank pari passu with the existing issued ordinary shares in the capital of the Company. Application will be made for the Deferred Consideration Shares to be admitted to trading on the AIM Market. It is expected that admission will become effective and that trading will commence in the Deferred Consideration Shares on 11 April 2007. Following admission, Corero will have 45,568,452 ordinary voting shares in issue.
