Interests of Person Discharging Managerial Responsibility ("PDMR")
in the Company's Shares
1. Grant of 2024 Award under the Company's Long Term Incentive Plan (2017)
Capricorn announces that, on 8 April 2024, the following award (in the form of a "nil-cost" option) (the "Award") over its ordinary shares of 735/143 pence each (the "Shares") was made under the Long Term Incentive Plan approved by shareholders in 2017 (the "2017 LTIP") to the undernoted PDMR of the Company (who commenced employment with Capricorn on 6 April 2024):

In order to ensure consistency with the grants made to the Company's executive director and other PDMRs on 2 April 2024, all Shares were awarded at £1.75 per Share (being the mid-market closing price of a Share on the dealing day immediately preceding such grants). The vesting of Eddie Ok's Award depends upon the extent to which specified performance conditions are met over a three-year performance period. Following any such vesting, the Award will be subject to a one year "holding period".

Following the grant of the above Award, the PDMR's beneficial interest in the Shares of the Company are as follows:
