Calyx Group PLC17 April 2007 Calyx Group plc ("Calyx" or the "Company") Update on Possible Offer Calyx announced on 13 March 2007 that it had received a preliminary approachfrom Maurice Healy and certain members of the Company's senior management team(the "Potential Offeror") that may or may not lead to an offer for the Company.An independent sub-committee of the Board, consisting of the Company'snon-executive directors Gary Kennedy, Neil Parkinson and Nicholas Koumarianos(the "Committee"), was formed to consider the approach and has retained DavyCorporate Finance to act as financial adviser. The Committee has been advised by the Potential Offeror that certain financialand commercial due diligence on the Company has now been prepared and thatnegotiations with potential providers of equity and debt funding are ongoing. It is the intention of the Committee to ascertain in a timely manner whetherthis or any other expression of interest that may be received can be translatedinto a firm proposal capable of being recommended to shareholders.
