Caledonia Investments plc
Notification of transactions of persons discharging managerial responsibilities ("PDMR") or persons closely associated with them ("PCA")
Caledonia Investments plc ("Caledonia" or the "Company") has been notified pursuant to the requirements of the Market Abuse Regulation of the following transactions in its ordinary shares of 5p ("Shares") involving two of its directors, William Wyatt and Jamie Cayzer-Colvin, and persons closely associated with them.
Mr Wyatt
On 6 June 2024, 15,688 Shares, as noted in the table below, were transferred to Mr Wyatt under the Caledonia Investments 2011 Performance Share Scheme ("2011 PSS") and the Caledonia Investments 2020 Performance Share Scheme ("2020 PSS") at nil cost. The Shares were sourced from The Caledonia Investments plc Employee Share Trust ("EST").

On the same date, Mr Wyatt sold:
· 12,197 Shares to The Dunchurch Lodge Stud Company ("Dunchurch Lodge"), a private company controlled by him and persons connected with him;
· 131 Shares to Knossington Holdings Company ("Knossington"), also a private company controlled by him and persons connected with him; and
· 2,360 Shares to family trusts of which Mr Wyatt is a trustee and holds a beneficial interest.
The above transactions increased Mr Wyatt's beneficial interests in the Company.
Mr Wyatt also sold 1,000 Shares to a family trust of which he is a trustee, increasing his non-beneficial interests in the Company.
Each of these transactions were conducted on-market in London. The Shares were sold at 3544.826p per Share. Dunchurch Lodge, Knossington and the family trusts, which are all members of the Cayzer family concert party, purchased the Shares at 3545.174p per Share.
Mr Wyatt's total interests in Shares following the above transactions are as follows:

Mr Cayzer-Colvin
On 6 June 2024, 4,431 Shares were transferred to Mr Cayzer-Colvin under the Caledonia Investments 2020 Deferred Bonus Plan ("DBP") at nil cost. The Shares were sourced from the EST.
On the same date, Mr Cayzer-Colvin sold 4,431 Shares to another member of the Cayzer family concert party. This transaction was conducted on-market in London and the Shares were sold at 3544.826p per Share.
Also on 6 June 2024, Mr Cayzer-Colvin transferred 2,600 Shares, representing 0.005% of the Company's total issued ordinary share capital, to the James Cayzer-Colvin 2024 Discretionary Settlement for nil consideration. In addition, Mr Cayzer-Colvin's spouse transferred 2,600 Shares, representing 0.005% of the Company's total issued ordinary share capital to the Esther Cayzer-Colvin 2024 Discretionary Settlement, also for nil consideration. These transactions were conducted off-market in London, reducing Mr Cayzer-Colvin's beneficial interests in the Company and increasing his non-beneficial interests.
Mr Cayzer-Colvin's total interests in Shares following the above transactions are as follows:
