Director/PDMR Shareholding Notification

Caledonia Investments plc ("Caledonia") has been notified pursuant to DTR 3.1.2R of the following transaction in its ordinary shares of 5p each involving one of its directors, William Wyatt.

On 26 May 2016, 1,000 shares in Caledonia, representing 0.001% of Caledonia's total issued ordinary share capital, were purchased for Mr Wyatt's minor children, Isabella, Oliver, India and Johnny, at a price of 2410p per share from a close family relative of Mr Wyatt. The purchase was conducted off-market and in London. The shares purchased will be registered in the name of Caytrust Finance Limited.

Mr Wyatt's total interests in Caledonia's ordinary shares following the above transaction are as follows:

Beneficial - 1,084,654* shares = 1.96%

Non-beneficial - 28,418 shares = 0.05%

Options - 12,707 shares = 0.02%

Performance share scheme awards - 130,310 = 0.24%

Deferred bonus plan awards - 70,024 shares = 0.13%

* includes 972,066 shares owned by Dunchurch.
