Caledonia Investments plc
Notification of transactions of persons discharging managerial responsibilities ("PDMR") or persons closely associated with them ("PCA")
Caledonia Investments plc ("Caledonia" or the "Company") has been notified pursuant to the requirements of the Market Abuse Regulation of the following transactions in its ordinary shares of 5p ("Shares") involving two of its directors, William Wyatt and Jamie Cayzer-Colvin, and persons closely associated with them.
Mr Wyatt
On 26 September 2023, 16,969 Shares were transferred to Mr Wyatt under Caledonia's 2011 Performance Share Scheme ("Performance Share Scheme") at nil cost. The Shares were sourced from The Caledonia Investments plc Employee Share Trust ("EST").
On the same date, Mr Wyatt sold:
· 7,969 Shares to Knossington Holdings Company, a private company controlled by him and persons connected with him;
· 1,600 Shares to The Dunchurch Lodge Stud Company ("Dunchurch Lodge"), a private company also controlled by him and persons connected with him; and
· 4,400 Shares to family trusts of which Mr Wyatt is a trustee.
The above transactions increased Mr Wyatt's beneficial holdings in the Company.
Mr Wyatt also sold 3,000 Shares to a family trust of which he is a trustee, increasing his non-beneficial holdings in the Company.
Each of these transactions were conducted on-market in London. The Shares were sold at 3472.5p per Share. Knossington Holdings Company, Dunchurch Lodge and the family trusts, which are all members of the Cayzer family concert party, purchased the Shares at 3476p per Share.
Mr Wyatt's total interests in Shares following the above transactions are as follows:

Mr Cayzer-Colvin
On 26 September 2023, 53,200 Shares were transferred between two funds of the Lady Cayzer Will Trust. This transaction did not change Mr Cayzer-Colvin's non-beneficial holdings.
Mr Cayzer-Colvin's total interests in Shares remains as follows:
