Total Voting Rights

On 22 March 2023, Celsius Resources Limited (ASX:CLA, LSE: CLA) (Celsius or the Company) issued a total of 8,448,856 fully paid ordinary shares in the Company ("New Shares") at a subscription price of A$0.014 (0.76 pence) per New Share, pursuant to receipt of notice under an agreement, announced to ASX on 22 December 2022, with the Lind Global Fund II, LP, a fund managed by The Lind Partners (together, "Lind", or "Investor") for an investment of up to A$2.8M ("Agreement").

Application will be made for the New Shares, which will rank pari passu with the existing Ordinary Shares, to be admitted to trading on AIM and it is expected that this will take place on or around 30 March 2023 ("Admission").

Following the Admission of the 8,448,856 New Shares, Celsius will have 1,865,652,899 Ordinary Shares in issue which will also represent the total number of voting rights in the Company. From Admission the above figure should be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the Financial Conduct Authority's Disclosure Guidance and Transparency Rules.
