Board Changes and Appointment of Sustainability Director

Highlights

· Ms. Attilenore Manero appointed as Executive Sustainability Director of Celsius Resources

· Mr. Julito Sarmiento now Executive Chairman, and Mr. Peter Hume now Managing Director of Celsius Resources

Celsius Resources Limited ("Celsius" or "the Company") is pleased to announce that Ms. Attilenore Manero has been appointed as Executive Sustainability Director of the Board, effective from 23 March 2023. Also effective from this date, Mr. Julito Sarmiento will move from Non-Executive Chairman to Executive Chairman (under the same terms of the position held by his predecessor, the late Martin Buckingham), and Mr. Peter Hume will move from Executive Director to Managing Director of the Group.

Ms. Manero was previously on the Board of Celsius from 4 February 2021 to 30 September 2021, but has since continued to work as Community Relations Manager in the Philippines. Her new position will be a more active role in overseeing Environmental, Social and Governance (ESG) and community elements as well as various regulatory related approvals for the Company's flagship assets in the Philippines and thus part of the Senior Management of the Group.

She specialises in social and environmental impacts management, with substantial practical experience throughout the Philippines, having worked with major public infrastructure, energy and mining projects involving indigenous communities for more than 13 years. She has past experience in and is currently managing a diverse team of local and international experts whilst carrying out studies leading to the development and implementation of social and environmental plans and programs, consistent with local statutes and internationally accepted standards.

Generally, she works closely with technical and engineering teams to ensure that adverse social and environmental effects are avoided or at least mitigated, while positive impacts are enhanced which are essential to obtaining a social license to operate within the Philippines.

Prior to joining the natural resource industry, Ms. Manero has more than 10 years of development work experience with World Bank and EU funded integrated rural development programs within the Philippines.

These were implemented in collaboration with the national government agencies, local government units, non-government organisations, as well as private sectors.

Attilenore currently owns 21,000,000 ordinary shares in the Company representing 1.13% of the Company's issued ordinary share capital. She also holds 21,000,000 additional contingent consideration shares which can be issued to her upon Celsius Resources securing its MPSA mining license before 4th August 2023.

There is no further information on Attilenore Manero required to be disclosed under Schedule Two, paragraph (g) (i)-(viii) of the AIM Rules for Companies.
