CATLIN GROUP LIMITED (the "Company")

DIRECTORS' AND PERSONS DISCHARGING MANAGERIAL RESPONSIBILITIES SHAREHOLDINGS

The Company received notification yesterday that the Trustees of the Company's Employee Benefit Trust ("EBT") have subscribed for 846,970 common shares ("EBT Shares") of $0.01 each in the capital of the Company ("Shares") at a subscription price of £2.05 per share pursuant to the Company's rights issue announced on 12 February 2009. The subscription was funded by the EBT's sale of Nil Paid Rights.  The EBT Shares were acquired by the trustees of the EBT on 26 March 2009 and the EBT now holds a total of 7,468,681 Shares.

 The EBT is a trust for the benefit of employees of the Company and its subsidiaries ("Group").

The executive directors and executive persons discharging managerial responsibilities of the Company listed below have a contingent beneficial interest in the EBT Shares arising from their participation in the Company's Performance Share Plan ("PSP"). Their interest in EBT Shares will vest to the same extent as underlying PSP awards. EBT Shares that do not vest will revert to the Company.

Depending on the level of vesting, the following directors and persons discharging managerial responsibilities have a beneficial interest in the EBT Shares in up to the following amounts:

As a result of recent vesting and exercise of PSP awards, the following directors and person discharging managerial responsibilities will receive Shares from the EBT on 15 April 2009 as detailed below:
