Celtic Resources Holdings PLC27 June 2006 Celtic Resources Holdings plc ("the Company") Additional listing and allotments to directors Application has been made for 1,186,500 new ordinary shares of Euro 0.25 each tobe admitted to trading on the AIM Market of the London Stock Exchange. Of theseshares 186,500 are being issued under the staff incentive scheme and 1,000,000are being issued to consultants in settlement of fees due at £2.33 per share. These allotments, made on 23 June 2006, include payments to certain directors,whose interests in the Company are thereby increased. Mr Karlov has acquired aninterest in 750,000 shares in settlement of fees due to a company in which heholds an interest. Messrs McDermott and Nesbitt have acquired 31,500 shares eachunder the staff incentive scheme. Mr Karlov now has an interest in 800,000 ordinary shares being 1.71 % of theissued share capital of the Company. Mr McDermott now holds 1,247,970 ordinaryshares being 2.67 % of the issued share capital of the Company. Mr McDermottalso holds warrants over 542,735 shares exercisable at EUR1.625 per share. MrNesbitt now holds 87,632 ordinary shares being 0.19 % of the issued sharecapital of the Company. Mr Nesbitt also holds options over 17,500 sharesexercisable at EUR1.27 per share and over 11,000 shares exercisable at EUR1.27per share. These shares will rank pari passu with existing ordinary shares and dealings areexpected to commence in the new ordinary shares at 8.00 a.m. on 30 June 2006.
