Share Capital Reduction and

Cancellation of the Share Premium Account

Further to the announcement released by the Company on 1 March 2024, concerning the proposed share capital reduction and proposed cancellation of the share premium account, the Company confirms that on 30 April 2024, an order of the High Court of Justice, Chancery Division confirmed the reduction of the share capital in the Company and the cancellation of its share premium account, which was approved by a special resolution of the Company passed on 20 March 2024. As a result, following the share capital reduction becoming effective, which is expected to take place on 2 May 2024 when the order has been registered by the Registrar of Companies, the nominal amount of each ordinary share in issue in the Company of £0.10 will be reduced by £0.097 to £0.003.

This announcement contains inside information for the purposes of Article 7 of EU Regulation 596/2014 (which forms part of domestic UK law pursuant to the European Union (Withdrawal) Act 2018).
