Director/PDMR Dealing
Codemasters (AIM:CDM), the award-winning British video game developer and publisher specialising in high-quality racing games, announces the following dealing by a director.
On 23 November 2020 Lisa Thomas, a Non-Executive Director, was granted an option (the "Option") to subscribe for 210,000 ordinary shares of 1 pence each in the Company at an exercise price of 235 pence per ordinary share in accordance with the terms of her appointment as a Non-Executive Director earlier this year. The other terms of the Option reflect the material provisions of the Rules of the Company's NED Plan, including as to vesting and exercise. The Option will vest as to one-third of the ordinary shares comprised in it on 7 April 2021 and the balance from 7 April 2021 at the end of each complete month on a pro rata basis up to 7 April 2023. The Option is exercisable between 7 April 2021 and 6 April 2030 subject to vesting and her continuing to hold the position of Director at the date of exercise. The Option will vest in full and become exercisable upon the Court sanction of the scheme of arrangement to effect the recommended cash and share offer by Take-Two Interactive Software, Inc for the Company that was announced on 10 November 2020.
If all of the Options were exercised in full, this would represent approximately 0.13 per cent. of the Company's issued share capital.
