Transfer of treasury shares and Total Voting Rights

The Company announces that 4,700 ordinary shares of 5 pence each in the capital of the Company ("Ordinary Shares") each held as treasury shares have been transferred from treasury yesterday following the exercise of employees' share options on 8 June 2022.

Following this transfer, the issued share capital of the Company consists of 21,465,929 Ordinary Shares of which 2,160,877 are held in treasury. Therefore, the total number of Ordinary Shares carrying voting rights in Character Group is 19,305,052. This figure of 19,305,052 may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest, or a change to their interest, in the Company under the Disclosure Guidance and Transparency Rules.
