Board Changes
Dublin, London, 7 February 2019: C&C Group plc (‘C&C’ or the 'Group’), a leading brand-owner, manufacturer and distributor of cider, beer, wines, spirits and soft drinks, today announces that Jill Caseberry and Helen Pitcher have been appointed as independent Non-Executive Directors with effect from 7 February 2019 and that Jim Thompson has been appointed as an independent Non-Executive Director with effect from 1 March 2019.
Jill Caseberry
Jill has extensive sales, marketing and general management experience across a number of blue chip companies including Mars, PepsiCo and Premier Foods. Jill is a non-executive director, Chair of the Remuneration Committee and a member of the Audit Committee and Nomination Committee at Northgate plc. Jill is also a non-executive director, Chair of the Remuneration Committee and member of the Audit and Nomination Committee at Bellway plc and is additionally a non-executive director of St. Austell Brewery Company Limited.
Helen Pitcher OBE
Helen is currently Chair of the Advisory Board and Chair of the Remuneration Committee of Pladis Global; a non-executive director of a Pladis Global subsidiary, United Biscuits; Chair of leading board effectiveness consultancy Advanced Boardroom Excellence Ltd; Chair of the UK Criminal Cases Review Commission; and President of KidsOut, a national UK charity for disadvantaged children. She is a board member of the CIPD (Chartered Institute of Personal Development) which promotes better work and working lives, and is President of the INSEAD Global Directors Network. In 2015 Helen Pitcher was awarded an OBE for services to business.
Jim Thompson
Jim has over 30 years investment management experience in the US, UK and Canada. He is currently Managing Principal at Kingfisher Single Family Office and serves on the board of directors of Millicom International Cellular SA. Jim has been a Guest Lecturer at the MBA Programmes at the University of Virginia, Columbia University and George Washington University. Jim holds an MBA from the Darden School at the University of Virginia where he received the Faculty Award for academic excellence. Jim has previously worked at Southeastern Asset Management, Mackenzie Cundill and Bryant Asset Management.
Mark Chilton
The Board also confirms the appointment of Mark Chilton as Company Secretary and Group General Counsel. Mark was Company Secretary and General Counsel of Booker Group plc from 2006 until 2018. Mark qualified as a solicitor in 1987.
Further to the Statement re: Board Changes issued on 25 October 2018, which stated, inter alia, that Geoffrey Hemphill and Richard Holroyd were stepping down from the Board, the effective date has now been set as 1 May 2019 in respect of Geoffrey and 31 May 2019 in respect of Richard. As previously announced, Joris Brams will also step down from the Board with effect from 28 February 2019. The Group is currently negotiating the terms of a consultancy arrangement with Joris in relation to the development of the Group’s Belgian beer brand, Heverlee, which Joris helped develop in conjunction with the monks of the Abbey of the Order of Premontre.
Board Committees
As from 1 March 2019 the composition of the C&C Group Board Committees will be as follows:-
Audit Committee – Emer Finnan (Chairman), Vincent Crowley and Jim Thompson. Nomination Committee – Stewart Gilliland (Chairman), Emer Finnan and Richard Holroyd. Remuneration Committee – Helen Pitcher (Chairman), Jill Caseberry and Vincent Crowley.Stewart Gilliland, Chairman of C&C, commented: “We are delighted that Jill, Helen and Jim are joining the Board of C&C.
