Transfer to Stephen Glancey of 2,463,937 Ordinary Shares of €0.01 each, representing Mr Glancey's vested interest in those shares held in co-ownership by Mr Glancey and the trustees of the JSOP in accordance with the terms of the JSOP established and approved by shareholders in December 2008 and which interest has been vested and transferable since December 2011. The remaining 949,397 shares, representing the trustee's interest in the shares held in co-ownership in accordance with the terms of the JSOP, will transfer to the trustees of the JSOP.
