Director Shareholding

Celtic plc (the "Company") was notified on 23 September 2011 that Brian Duffy, a non-executive director of the Company, had acquired 16,165 Ordinary Shares of 1p each in the capital of the Company, at a price of 37.9p per share. The transaction took place on 23 September 2011.

Prior to the transaction Mr Duffy was interested directly in 162,750 Ordinary Shares of 1p each.

Following the transaction Mr Duffy is interested as the beneficial owner, in 178,915 Ordinary Shares of 1p each representing 0.20% of the class.
