Charles Stanley Group PLC20 September 2007 Additional Listing The Directors of Charles Stanley Group Plc (the "Company") seek to list anadditional 27542 ordinary shares, as per the following: 1. The Company announces that it has received notice of a conversion in respectof convertible loan notes (the "Notes") of £40,000. The notes were issued on26th November 2004 as part of the consideration for the acquisition of theissued share capital of Sutherlands Group Ltd, as per the announcement dated26th November 2004. The conversion price of the Notes was 248.7p per share andso the Company will issue and allot 16084 new ordinary shares on 21st September2007, conditional upon admission to the Official List of the UK ListingAuthority. 2. The Company has been notified that a former employee has acquired a total sumof 11458 ordinary shares of 25p each as the result of the exercise of an optionunder the Company's Save As You Earn Scheme at a price of 96 pence per share. Accordingly, application has been made to the UK Listing Authority for these newordinary shares to be admitted to the Official List and to the London StockExchange for trading. The new ordinary shares rank pari passu with the existingissued shares of the Company and admission and dealings are expected to commenceon 21st September 2007.
