Issue of Equity

Brooks Macdonald Group plc ("the Company", "Brooks Macdonald") has allotted 28,748 ordinary shares of £0.01 each in the Company ("Ordinary Shares") to the vendors of Integrity Wealth (Holdings) Limited following the completion of its acquisition by Brooks Macdonald in October 2022. An application has been made to the London Stock Exchange for the Ordinary Shares to be admitted to trading on AIM which is expected to take place at 8am on 11 August 2023.

Following this allotment, the total number of Ordinary Shares in issue is 16,432,861. Therefore, the total number of voting rights in the Company is 16,432,861. This figure may be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the share capital of the Company under the Financial Conduct Authority's Disclosure Guidance and Transparency Rules.
