Issue of Equity

Breedon announces that it has applied for 2,391,065 ordinary shares of no par value ("Ordinary Shares") to be admitted to the London Stock Exchange for trading on AIM ("Admission"). The Ordinary Shares are to be allotted pursuant to the exercise of a put option by a holder of Participation Shares held in the Company's subsidiary Marwyn Materials Investments Limited which were issued in 2008.  It is expected that Admission will occur at 8.00am on 26 January 2015 and the Ordinary Shares will rank pari passu with the existing ordinary shares in the Company.

Following the issue of the above Ordinary Shares, there will be 1,024,931,626 Ordinary Shares in issue. This number may be used by shareholders as the denominator for the calculation by which they will determine if they are required to notify their interest in, or a change in their interest in, the share capital of the Company.
