Notification of transactions by Directors/Persons Discharging Managerial Responsibilities (PDMR) and Persons Closely Associated with them (PCA)
The Company has been notified that:
1. on 26 November 2025, Abicad Holding Limited (Abicad), a PCA of Amit Bhatia, Non-executive Chair of Breedon Group plc (Company) and PDMR, acquired 200,000 ordinary shares of £0.01 each in the Company (Shares) at the price of 369.6423 pence per Share upon the exercise of the fifth tranche of the option agreements entered into on 27 November 2024 (and notified to the market on 2 December 2024) (the Option Agreements); and
2. on 27 November 2025, Abicad acquired a further 200,000 Shares at the price of 392.7450 pence per Share upon the exercise of the sixth tranche of the Option Agreements.
Under the Option Agreements the relevant option tranche is automatically exercised and the relevant Shares are acquired if the closing price of a Breedon ordinary share is below or equal to the relevant exercise price for that tranche on the option expiration date.
Following the exercise of the first six tranches of the Option Agreements, Abicad currently holds 66,654,894 Shares, equating to approximately 19.23% of the Company's total issued share capital (at today's date). If all of the Shares are acquired under the remaining tranches of the Option Agreements and Abicad does not dispose of any of its existing interests in the Shares, Abicad would have an aggregate interest in 67,054,894 Shares, equating to approximately 19.34% of the Company's total issued share capital (at today's date).
The acquisitions of the Shares described above, and any potential future acquisitions, represent a continuation of Abicad's previously announced intention to make market purchases of the Shares over time.
This notification is made in accordance with the requirements of Article 19 of the UK Market Abuse Regulation.
