PartyGaming Plc21 December 2006 21 December 2006 PartyGaming Plc Total Voting Rights In conformity with the Transparency Directive's transitional provision 6, wemake the following declaration to the market: As at 21 December 2006, the issued share capital of PartyGaming Plc (PartyGamingor the Company) consists of 4,000,000,000 ordinary shares of 0.0015 pence each(Shares). Each Share carries one voting right, with the exception of Sharesheld by the Company's employee benefit trust, the PartyGaming Plc Shares Trust(the Trust), which has waived the voting rights in respect of the Shares itholds. As at 21 December 2006 the Trust held 144,447,256 Shares and thereforethe total number of Shares with voting rights is 3,855,552,744. The above total voting rights figure may be used by shareholders as thedenominator for the calculations by which they will determine whether they arerequired to disclose their interests in, or a change to their interest in,PartyGaming under the FSA's Disclosure and Transparency Rules.
