This announcement contains inside information for the purposes of Article 7 of Regulation (EU) 596/2014 ("MAR"). Issue of Equity
Bould Opportunities plc (AIM: BOU), is pleased to announce that it has raised gross proceeds of £218,000 (net proceeds of £207,100) via the placing of 1,744,000,000 new ordinary shares of 0.01p each ("Ordinary Shares") with new and existing investors (the "Placing Shares") at a price of 0.0125p per share (the "Placing") which is the same price as was recently offered to all existing shareholders in the Company's Open Offer which closed on 22 May 2019.The net proceeds of the Placing will provide the Company with additional funding to evaluate and execute potential reverse takeover propositions.
Application will be made for the Placing Shares, which will rank pari passu with the Company's existing Ordinary Shares, to be admitted to trading on AIM ("Admission"). The Placing is conditional on Admission and it is anticipated that Admission will become effective at 8.00 a.m. on 31 May 2019.
Total voting rights
Following Admission, there will be a total of 12,408,442,268 ordinary shares in issue, all with equal voting rights. This figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FCA's Disclosure Guidance and Transparency Rules.
