BOS GLOBAL Holdings Limited ("BOS GLOBAL" or "the Company") (AIM: BOS), the software developer focused on improving productivity and creating operational efficiencies in the workplace by collecting and reporting workforce analytics, announces that Managing Director Michael Travia has stepped down from the Board and his executive roles within the Company. The Board would like to thank him for his contribution and wishes him well. To ensure continuity and streamline activities, the responsibilities of the Managing Director will be shared on an interim basis by Bill Brooks, currently Global PMO Director for BOS GLOBAL, who will assume responsibilities for the Company's sales and international growth strategy and Mark Uren, Executive Director, who will be responsible for the broader corporate management duties. BOS will now commence a process of identifying and appointing a replacement Managing Director and will provide updates in due course.

The Company remains committed to building a global business focused on its propriety BOS360 platform and the associated workplace analytics software products. This is achieved both through direct channels and via an established re-seller network. Mr Brooks, who is based in Central Europe, will look to build the business directly in the UK and Europe and expand the sales channels in Australia, North America and the Far East.

The BOS GLOBAL sales network includes Call Design Pty Ltd ('Call Design') in Australia which the Company maintains a 40% interest and an option to acquire 100%. With respect to Call Design, the Board has also been made aware that Call Design has made a media statement indicating its intention to list on the Australian Securities Exchange ("ASX"). The Company continues to have an extremely positive working relationship with Call Design as an ongoing platinum reseller of BOS products and Innovation Partner. Further announcements will be made in due course regarding Call Design and its intentions to list on ASX.

The Convertible Note agreement ("Existing Note Agreement") for £1,875,000 with Innovation Corporation Limited ("Innovation") remains in place with all conditions applying. Presently £371,391 has been drawn down by the Company for which conversion notices have not yet been received. Innovation is a Hong Kong registered company of which Michael Travia is the sole shareholder and beneficial owner. Innovation is as an investment company for the management of the wealth of Mr. Travia, and is a related party of the Company. 

Chairman David Ireland said, "We have a great product range based on the BOS360 platform and a strong team that has the ability to scale the business and fulfil our growth objectives. The opportunities for our software are international and with a defined sales strategy led by Bill, and working closely with the rest of the Board, I feel we will be able to deliver value for shareholders."

The Company's sales strategy is focussed on building a global distribution partner network via Enterprise Software Vendors, Professional Services organisations and Consulting Practices.

The Company acquired a 40% equity interest in Call Design Pty Ltd on 23rd May 2017, a profitable, Australian based, global provider of workforce optimisation tools, focused particularly on call centre services, which has an established blue chip client base. This highly synergistic investment is expected to provide multiple cross-selling opportunities to both companies in line with BOS GLOBAL's strategy to deliver a comprehensive business optimisation offering globally. This investment includes the 1st Rights of Offer and Refusal for BOS to acquire the balance of Call Design on the same financial terms as the initial 40% investment.

Call Design sets a new standard for Workplace Optimisation, while BOS GLOBAL's software sets a new standard for Workplace Efficiency. Both products will be offered through BOS360 PaaS, setting a new standard for Workplace Analytics to give companies greater control in making informed, fact-based decisions on their operational activities; Workforce Analytics is a combination of software and methodology that applies statistical models to worker-related data, allowing enterprise leaders to optimise human and machine resources.

BOS GLOBAL Holdings Limited is an AIM listed company incorporated in Australia, operating from offices in Melbourne, Sydney and Brisbane. The Company also has a regional office in Hong Kong, responsible for the Asia-Pacific region and processing of large scale enterprise product sales with a greater than USD20 revenue stream over an initial three-year contract term.
