Boot(Henry) PLC22 September 2005 We have been advised by Mr. Edward James Boot, Group Managing Director of HenryBoot PLC, that he and his wife have today transferred from two family trusts atotal of 152,380 Ordinary Shares in the Company (registered in two accounts bothin their joint names and constituting 0.58% of the total number of OrdinaryShares in issue) in equal proportions to their three children (two adultchildren, Mr. Hamer J.E. Boot and Miss Georgina C. Boot, both deemed to beconnected persons, and one child under the age of 18, William J. Boot). As aresult of these transactions, Mr. E.J. Boot's total beneficial andnon-beneficial interests in the Ordinary Share capital of the Company are nowrespectively 1,455,308 shares (5.58% of the total in issue) and 196,740 shares(0.75% of the total in issue).
