Total Voting Rights

Following the introduction today of Bank of Ireland Group plc as the listed holding company of the Bank of Ireland Group, and in conformity with Regulation 27 of the Transparency (Directive 2004/109/EC) Regulations 2007, as amended, Bank of Ireland Group plc announces that, as at 10 July 2017, Bank of Ireland Group plc has in issue 1,078,822,872 ordinary shares, of nominal value of €1.00 each, with voting rights (the "Ordinary Shares").

The Ordinary Shares in issue figure of 1,078,822,872 should be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change in their interest in, Bank of Ireland Group plc, under the Transparency (Directive 2004/109/EC) Regulations 2007, as amended, and the Transparency Rules of the Central Bank of Ireland.
