Update on Publication of Accounts

Total Voting Rights

BiON (AIM: BION) gives notice that the Company is working towards the completion of its audited report and accounts for the year ended 31 December 2021 (the "Annual Report 2021"). However, should it be unable to complete and publish its Annual Report 2021 by its financial reporting deadline of 30 June 2022, the Company's ordinary shares will be suspended from trading on AIM with effect from 7.30am on 1 July 2022, pending the publication of its Annual Report 2021.

Notwithstanding any possible lifting of the aforesaid suspension, the Company is an AIM Rule 15 cash shell and is required to make an acquisition or acquisitions which constitutes a reverse takeover under AIM Rule 14 on or before 20 October 2022, failing which the Company's ordinary shares would then be suspended from trading on AIM pursuant to AIM Rule 40. Admission to trading on AIM would be cancelled six months from the date of suspension should the Company fail to complete an acquisition or acquisitions which constitutes a reverse takeover under AIM Rule 14 during that period.

Total Voting Rights

In accordance with the Disclosure Guidance and Transparency Rules of the Financial Conduct Authority ("FCA"), the Company announces that its issued share capital consists of 765,053,098 ordinary shares of no par value, all with voting rights. There are no shares held in treasury.

The above figure of 765,053,098 may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the share capital of the Company under the FCA's Disclosure Guidance and Transparency Rules.
