Billing Services Group Limited ("BSG" or the "Company")
Additional Listing, Share Buy-back and Directors' Dealings
The Company announces that it has issued 10,418,908 common shares of US$0.59446 each in the Company ("Common Shares"). The shares are being issued pursuant to the exercise of options awarded under the Company's Amended and Restated Billing Services Group Limited Stock Option Plan (the "BSG Plan") and Amended and Restated BSG Clearing Solutions North America, Inc. Stock Option Plan (the "BSG North America Plan"). Details regarding the stock option plans are contained in the Company's consolidated financial statements for the years ended December 31, 2008 and 2007 found on the Company's website. Details of the exercised options are as follows:

The 10,418,908 Common Shares are being issued to the Directors and employees of the Company. These Directors and employees have notified the Company that they intend to dispose of the Common Shares issued to them. The Company has arranged to purchase these 10,418,908 new Common Shares at a price of 22 pence per Common Share ("Share Buyback"), representing the closing mid-price for the Common Shares as at 9 November 2009. The new Common Shares purchased by the Company will be cancelled immediately.
A schedule of the holdings of the Directors who have exercised options and their resultant option and shareholding interests in the Company is set out below:
