Update re: proposed sale of the Recruitment Software Subsidiaries of Bond International Software plc ("Bond") to funds managed by Symphony (the "Sale")
Symphony notes the announcement by Bond on 19 October 2016, stating that the board of directors of Bond (the "Bond Board") is no longer recommending that Bond Shareholders vote in favour of the resolution to be proposed at the general meeting of Bond convened for 11.30 am on 24 October 2016 to approve the Sale and is instead recommending that Bond Shareholders accept the 121 pence per Bond Share offer from Constellation Software UK Holdco Ltd (the "Constellation Offer").
Symphony announces that it is considering its options and urges Bond Shareholders to take no action in relation to the Constellation Offer.
Symphony highlights that the current terms of the Sale have allowed the Bond Board (based upon the assumptions and caveats contained within the circular to Bond Shareholders dated 5 October 2016) to estimate a range for the total distribution to Bond Shareholders from a members voluntary liquidation of Bond following completion of the Sale of between 121 pence and 122.5 pence per Bond Share.
