Share buyback programme
Baltic Classifieds Group PLC, (LSE: BCG), a leading online classifieds group in the Baltics, announces that in continuation of the share buyback programme announced on 30 September 2022, it has entered into an arrangement with its broker, Merrill Lynch International, to purchase shares on its behalf and within certain pre-set parameters during the Company's closed period commencing on 7 November 2022 up to and including 6 December 2022. The Company's half-year financial results are scheduled for release on 7 December 2022.
The programme remains under the authority granted by shareholders at the Company's 2022 AGM that was held on 28 September 2022, at which the Company's shareholders generally authorised the Company to make market purchases of up to 50,039,240 of its ordinary shares, subject to minimum and maximum price restrictions. This authority expires at the conclusion of the Company's 2023 AGM. The aggregate number of shares acquired by the Company pursuant to the programme shall not exceed the maximum number of shares which the Company is authorised to purchase pursuant to this authority.
The purpose of the share buyback programme is to reduce the Company's share capital and return capital to shareholders. It is intended that shares purchased under this programme will be immediately cancelled.
The share buyback programme will be conducted in accordance with the Company's general authority to repurchase shares, Chapter 12 of the UKLA Listing Rules and relevant conditions for trading, restrictions regarding time and volume, disclosure and reporting obligations, and price conditions.
