Berkeley Berry Birch PLC08 February 2005 BERKELELY BERRY BIRCH PLCDIRECTORS DECLARATIONS Further to the announcement on 25 January 2005 that Berkeley Berry Birch plc hasappointed Michael Cleary as an Executive Director, and John Joyce as aNon-executive Director, of the Company, the Board announces the followinginformation:- Michael Cleary Directorships of Publicly Quoted Companies Mr Cleary has held no directorships in publicly quoted companies during the lastfive years. Other matters Listing Rule 6F2 (d) - Mr Cleary is a director of Berry Birch & Noble FinancialServices Limited ("BBNFS") which sold its business and related assets andliabilities to a fellow group company on 12 February 2004, and subsequently wentinto liquidation on 10 March 2004. As previously announced, the Financial Services Authority ("FSA") has informedthe Group that it is to investigate the liquidation of BBNFS and the purchase ofthe BBNFS business by a fellow group company. The FSA has directed that nopayments or distributions should be made by BBNFS to a Berkeley Berry Birchgroup company without the FSA's permission. The FSA has informed the Group thatthe appointment of investigators does not mean that they have determined therule breaches and/or other contraventions have occurred. There remains nodefinitive time frame for this process, though the Group continues to workclosely with the FSA. The Directors remain confident in the outcome of theinvestigation.
