Notification of transactions of directors/persons discharging managerial responsibilities ("PDMRs") and their connected persons
In accordance with DTR 3.1.4R, Babcock International Group PLC (the "Company") announces that it was notified yesterday (in accordance with DTR 3.1.2R) that the following disposals of nil paid rights in respect of the Company's ordinary shares of 60p each took place in London under the terms of the Rights Issue announced by the Company on 27 March 2014.

The proceeds of the sale of these nil paid rights will be used in full to take up some of the remaining nil paid rights to which the respective PDMR and his connected person are entitled ('tail-swallowing') and a further announcement regarding the subscription for those new ordinary shares will be made following the closing of the Rights Issue.
