PROPOSED ACQUISITION OF TEAM WENDY - SATISFACTION OF HSR CONDITION

Further to the announcement made by Avon Rubber p.l.c. ("Avon Rubber") on 9 September 2020 regarding its agreement to acquire Team Wendy, LLC (the "Acquisition"), Avon Rubber announces that on 23 October 2020, the applicable waiting period under the Hart-Scott-Rodino Antitrust Improvements Act of 1976 expired.

Following satisfaction of this condition, Avon Rubber expects the Acquisition to complete on 2 November 2020.
