Director/PDMR Shareholding: Grant of Share Options
Atlas Mara Co-Nvest Limited ("Atlas Mara" or the "Company") announces that on 8 September 2014 the Company granted options over a total of 375,000 ordinary shares to its Chief Executive Officer, John Vitalo and its Acting Chief Financial Officer, Brad Gibbs, subject to the terms of the Company's Global Share Option Plan, as follows:

In addition, the Company granted a further 578,000 options to certain other employees and consultants of the Company subject to the terms of the Global Share Option Plan or on substantially similar terms.
All such options are exercisable at a strike price of US$11 per ordinary share with one third vesting on the date of grant, one third on the first anniversary of grant and one third on the second anniversary of grant.
The Company further announces that on 11 September 2014, Mr Vitalo was issued 300,482 ordinary shares pursuant to the terms of his employment contract. These shares are subject to certain restrictions on dealing from the date of issue up to 1 April 2017. Mr Vitalo therefore holds 300,482 ordinary shares in the Company and 300,000 options under the Company's Global Share Option Plan.
It is expected that the 300,482 ordinary shares will be admitted to trading on the London Stock Exchange on 16 September 2014.
