Following the recent issue of shares as a result of the underwriting for the Open Offer, and market purchases made on the 6th March 2012, the following directors' interests in the company are currently.

Colin Weinberg; 111,916 Ordinary Shares representing 5.462% of issued Ordinary Shares.

David Brown; 89,312 Ordinary Shares representing 4.359% of issued Ordinary Shares.

Stephen Cockburn; 72,237 Ordinary Shares representing 3.53% of issued Ordinary Shares.

Stephen Cockburn also now has a non-beneficial interest in 80,859 Ordinary Shares representing 3.95% of issued Ordinary Shares.

The Trustees of The Tyrell Green (1996) Retirement Benefits Scheme now hold, as a result of the recent capital changes, 65,050 Ordinary Shares in Associated British Engineering plc being 3.175% of the voting shares in issue. This holding is part of Mr Cockburn's non-beneficial interest.

Following the recent changes to the capital of the company The Investment Company plc acquired an interest in 215,771 ordinary shares of the company being 10.53% of the voting shares in issue. On 6 March it sold 115,771 shares at 120p and now holds 100,000 (4.88%) Ordinary Shares in Associated British Engineering plc.
