ARC International Plc Total Voting Rights In accordance with the transitional provisions of the Disclosure andTransparency Rules, ARC International Plc (the "Company") confirms that itsissued share capital comprises 152,113,321 ordinary shares of 0.1 pence each.All of the ordinary shares have equal voting rights and none of the ordinaryshares is held in treasury. This figure may be used by shareholders as the denominator for the calculationsby which they will determine if they are required to notify their interest in,or a change to their interest in, the share capital of the Company under theDisclosure and Transparency Rules.
