API Group PLC13 April 2005 13 April 2005 FOR IMMEDIATE RELEASE API Group plc ("API" or "the Company") On 11 February 2005 the Board of API announced that it had received apreliminary approach, which may or may not lead to an offer being made for theCompany. The Board has noted the recent press speculation and confirms that itis in continuing discussions with Illinois Tool Works, Inc ("ITW"). Thesediscussions have also included API's largest shareholders. Agreement has notyet been reached on the terms of an offer and there can be no assurance that anoffer will be forthcoming. The Board, which is being advised by Close Brothers, will issue a furtherstatement in due course.
