API Group PLC08 March 2005 API Gloup plc (the "Company") Application has been made to the UK Listing Authority ("UKLA") and the LondonStock Exchange for the listing of 125,000 ordinary shares of 25p each fully paid("Ordinary Shares"), to trade on the London Stock Exchange and be admitted tothe Official List of the UKLA. It is expected that admission of these OrdinaryShares will become effective on 11 March 2005. These Ordinary Shares will rankpari passu with the existing issued Ordinary Shares of the Company. These Ordinary Shares are to be issued as a result of the exercise of 45,112options under the Company Approved Share Option Plan and the exercise of 79,888options under the Company Unapproved Share Option Plan.
