American Investment Trust Limited26 May 2005 26 May 2005 The American Investment Trust Limited ("AIT") andAmerican ZDP Limited ("AZDP") Distributions to shareholders and liquidation of the subsidiary The Boards of The American Investment Trust Limited ("AIT") and American ZDPLimited ("AZDP") today announce that further to the announcements made on 21April 2005 and in accordance with the intentions expressed in a Circular toshareholders dated 14 February 2005 ("the Circular"), the Directors of AIT andAZDP have agreed the transfer of £187,583 of assets in full satisfaction of theundertaking agreement between AIT and AZDP. Accordingly the Board of AZDP have declared a final distribution of 0.8337 penceper Zero Dividend Preference ("ZDP") share. This distribution will be made onWednesday, 1 June 2005 by cheque to all ZDP shareholders. Following the payment to ZDP shareholders, the Board of American ZDP Limited ("AZDP") will apply to the Jersey Registrar of Companies for the dissolution ofAZDP. Pursuant to the agreement between AIT and Totalassist Company Limited ("Totalassist") referred to in the Circular, the Board of AIT will as soon aspossible after the transfer of assets to AZDP take all practical steps to enableTotalassist to become the sole shareholder of AIT, including the resignation ofthe incumbent Directors and their replacement by representatives of Totalassist.
