Announcement in relation to the trading-restricted
A Shares Held by China National Aviation Holding Company
and China National Aviation Corporation (Group) Limited becoming tradable
(Overseas Regulatory Announcement)
This announcement is issued by Air China Limited (the "Company") pursuant to Rule 13.09 of the Rules Governing the Listing of Securities on The Stock Exchange of Hong Kong Limited (the "Listing Rules").
At the time of the initial public offering of the A shares of the Company, China National Aviation Holding Company, the controlling shareholder of the Company, ("CNAHC"), held 4,826,195,989 A shares of the Company and China National Aviation Corporation (Group) Limited, the wholly owned subsidiary of CNAHC and also the promoter of the Company, ("CNACG"), held 1,380,482,920 A shares of the Company. CNAHC and CNACG undertook that within 36 months from the date of the A share listing of the Company, CNAHC and CNACG shall not transfer to third parties the shares of the Company held by them or entrust a third party to manage such shares, and that such shares shall not be repurchased by the Company. As calculated from 18 August 2006 (the date of the A share listing of the Company on the Shanghai Stock Exchange), the 4,826,195,989 A shares and 1,380,482,920 A shares held by CNAHC and CNACG respectively will be tradable from 18 August 2009.
Upon the 6,206,678,909 A shares held in aggregate by CNAHC and CHACG becoming tradable, the share capital of the Company will change as follows:
