Albemarle & Bond Holdings PLC18 August 2005 ALBEMARLE & BOND HOLDINGS PLC "the Company" Transfer of shares held by Albemarle & Bond Trustee Limited ("the Trustee") as the Trustee of the Albemarle & Bond Pawnbrokers Limited Employee Benefit Trust ("the ESOP")______________________________________________________________________________ The ESOP was established for the purpose of facilitating the holding of sharesin the Company by or for the benefit of bona fide employees or former employeesof the Company and its Subsidiaries. Following the exercise of options by two employees on 18 August 2005 and thetransfer of 15,000 Ordinary 4p shares held by the Trustee, the Trustee now holds 328,250 Ordinary 4p shares, in the capital of the Company, as Trustee of the ESOP. Each of the following Directors of the Company, as a potential beneficiary ofthe ESOP is regarded as interested in these shares, which is equivalent to 0.71% of the Company's issued share capital.
