Issue of Equity
AB Dynamics plc (AIM: ABDP), the designer, manufacturer and supplier of advanced testing systems and measurement products to the global transport market, announces it has issued and allotted 33,334 ordinary shares of 1 penny each ("New Ordinary Shares"). The New Ordinary Shares are being issued to James Routh, Chief Executive Officer of the Company, pursuant to the exercise of options under certain share option schemes.
Accordingly, application has been made for the 33,334 New Ordinary Shares to be admitted to trading on AIM ("Admission"). It is expected that Admission will become effective, and that dealings will commence in the New Ordinary Shares at 08.00 a.m. on 23 June 2023. The New Ordinary Shares will rank, pari passu, with the existing ordinary shares in the Company.
In conjunction with the option exercise and issue of New Ordinary Shares, Dr Routh has sold 27,101 New Ordinary Shares in order to meet the cost of the exercise and to satisfy personal taxation liabilities arising from the exercise. Following these transactions, Dr Routh's shareholding in the Company will increase by 6,233 shares to 25,433 shares, representing 0.11% per cent. of the Company's issued share capital.
Total voting rights
Following Admission, the Company's enlarged issued share capital will comprise 22,934,365 ordinary shares of 1 penny each. The Company does not hold any shares in treasury. This figure may be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change of interest in, the share capital of the Company under the FCA's Disclosure, Guidance and Transparency Rules.
