Total Voting Rights and Capital

London and Lagos, 2 January 2025: In accordance with the Financial Conduct Authority's (FCA) Disclosure Guidance and Transparency Rule 5.6.1R, the Company notifies the market that: 

1. As at close of business on 31 December 2024, Airtel Africa plc (the "Company") had 3,687,483,933 ordinary shares of USD 0.50 each admitted to trading. Each ordinary share carries the right to one vote at general meetings. The Company does not hold any shares in treasury.

2. Accordingly, the total number of voting rights in the Company is 3,686,583,933. This figure may be used by shareholders as the denominator for the calculations by which they will determine whether they are required to notify their interest in, or a change to their interest in, the Company under the Financial Conduct Authority's Disclosure Guidance and Transparency Rules.

3. The difference between the ordinary shares admitted to trading and the total number of voting rights (900,000 shares) relates to unsettled share purchases which are yet to be cancelled in accordance with the ongoing share buyback programme of the Company.
