£250,000,000 3.375 per cent. Secured Bonds due 2045 (together, the Bonds)

Notice is hereby given to the holders of the Bonds regarding the Stonewater Group's ongoing discussions with Porthove Housing Association Limited ("PHA"), a Registered Provider of Social Housing and community benefit society with registered number 16913R, and The Rotary Club of Hove Community Housing Society Limited ("The Society"), a community benefit society with registered number 15012R.

PHA is a housing association with 44 properties in the Brighton and Hove area. The Society is a society with 53 properties in Hove.

Due to continued due diligence, the current intention is for PHA and The Society to join the Stonewater Group via a Transfer of Engagements into Stonewater (5) Limited on or prior to 31 December 2025.

Stonewater Limited will remain the parent of the Stonewater Group.
