("TP S.A.") herebyannounces that on 26 October 2005, TP S.A. concluded with France Telecom MobileInternational S.A., a wholly-owned subsidiary of France Telecom, a provisionalagreement for the purchase by TP S.A. of the 34% stake in PTK Centertel Sp. zo.o. ("PTK Centertel") for total cash consideration of PLN 4,880 million. Following the transaction, TP S.A's direct stake in PTK Centertel will increasefrom its current level of 66% to 100%.
