Wow my calculations are bad because I didn't realise those 405 million RRR shares given to the lender yesterday was over 8% in RRR company shares.

Yet yesterday this lender who "Helpful" knows was given over 405 million in RRR shares because RRR owed this lender money. 405 million is over 3% of the company.

Yet in this instant no TR1 holding RNS is apparently needed.

Hawaii, this past year you've had many conspiracies about people shorting RRR. Hopefully yesterday's RNS and poster "Helpful's" reaction to the RNS made you reassess your shorting theory?

Yesterday's RNS revealed that Red Rock had repaid some debt they owed and the lender had been given over 405 million RRR shares. 405 million RRR shares equates to over 3% of the company.

Yet "Helpful" smugly said he knows who the lender is and he said no TR1 holding RNS was required. Also goes without saying Andrew Bell also knows who the lender is.

Noirua on the other thread said if it's a long term individual RRR lender then it must be Charles Topham. You'll remember he was/is "Helpful's" client. The last TR1 holding RNS for Topham according to Red Rock's website was way back in June 10th 2021.

I only reposted this a few months ago but in 2019 Charles Topham held around 17% in RRR. This is a 2019 post from "Helpful":

So to sum up, some individual lender was repaid and given in over 3% of the companies shares yesterday. Both Bell and Lundy know who it is. No TR1 RNS will be released. Highly likely this lender is in fact Lundy's client Charles Topham.

So I personally suspect it's grubby "Helpful" Lundy who is manipulating people on this thread with his over the top RRR fantasies while at times he is busily wheeler dealing his clients huge number of RRR shares. Of course all with outward disdain for most people on this thread.

Although in the December RNS they don't give names you can pretty much work it out they are paying back Sam Mahendran. So I suspect today's RNS is the same person.

Here goes:

The recently given £250,000 convertible loan notes given from RRR to Power Metals look like they have a 6 month duration. So to me it's really meaningless if RRR do a placing over £200,000 and then Power Metals get the Convertible loan notes at that placing price because Power Metals need to do nothing and then after 6 months the convertible loan note duration will expire and then Red Rock will owe Power Metals £250,000 plus any interest in cash.

So the above is less than 6 month.

Then in less than 2 month (so now around about 6 weeks away) Red Rock have agreed to pay Power Metals another £250,000 in cash.

Then 9 months after the sale completed RRR will have to pay Power Metals another £250,000 in cash.

Plus I believe RRR owe Power Metals another £100,000 which Power Metals had lent them. So that will need repaying.

So all the above is nailed on guaranteed over the next nine months. And as we all know paying someone out in cash means RRR will probably have to take out huge loans with high fees.

Plus we have all the high company wages and all the ongoing costs with all the other numerous Red Rocks assets.

I think over these next 9 months this so called "good place" for RRR shareholders will become an absolute hellhole.

When he says "facilities" highly likely he means RRR have taken out credit facilities.

and 100,000,000 Warrants exercisable into new Ordinary Shares for 3 years at a price of 0.15 pence per Share."

To me an unsatisfactory Red Rock rns because it's missing out important details on at what share price have 166,666,667 ordinary RRR shares been given to POW?

I know some will say look at the terms in the 13th March RRR rns.... but i'm fully aware terms can change.

Correction to my last post:

"When the Red Rock's RNS arrives i will guess that the above 166,666,667 ordinary shares will be be for around £83,000 and POW will get 0.05p shares. "

From POW RNS:

"Accordingly, the Company has been issued 166,666,667 new ordinary shares in Red Rock Resources plc ("RRR"), and now owns 3.87 per cent. of RRR."

Like i posted last week i don't believe for a moment that the above 166,666,667 ordinary shares (as stated in original March RNS's) will be for £250,000 and POW will accept it in 0.15p RRR shares. When the Red Rock's RNS arrives i will guess that the above 166,666,667 ordinary shares will be be for around £83,000 and POW will get 0.5p shares.

Of course on the above prediction i might be completely wrong. 🥴

(2) The Company has also been issued with a £250,000 convertible loan note and 100,000,000 warrants exercisable into RRR ordinary shares, for three years at a price of 0.15 pence per share."

Originally POW were going to be given warrants at 0.25p but now that has come down to 0.15p. So again that raises my suspicions that the above 166,666,667 paid to POW will not be £250,000 at 0.15p Red Rock shares.

I guess we'll soon find out. 🤔

So if you click on "Agreement" on the video at 4 min 36 secs, you will hear Andrew Bell talking about his loose business arrangement with Sam Mahendran. Notice how he stresses how important it is to be the licence holder.

I've posted this numerous times but the dates match and so this is the likely land deal between Gecamines and the Glencore subsidiary that contained the former VUP/ RRR JV licenses.

So no $430 million sale that some keep lying about. And i'm quite sure that the Glencore subsidiary made sure all licenses were legally owned by Gecamines before the deal completed.

See the dates and this extract from a Red Rock RNS and then look at the date of the below Glencore RNS:

"A purported surrender by VUP of the JV Assets and some others, for $20,000,000 compensation, to La Générale des Carrières et Mines ("Gécamines"), a state-owned company in the Democratic Republic of Congo, under the terms of a purported Amicable Termination Transaction Protocol ("Protocol"). The Protocol was stated to have been signed on 4 December 2019, notarized on 29 September 2021, and come into enforceable form on 5 October 2021, and to have been entered into in the framework of discussions by Gécamines with a third party."

It's also highly likely that VUP could relinquish those licenses (for compensation) without Red Rock's knowledge was because VUP were the licence holders and Red Rock were not. So yes Red Rock may be p*ssed that their JV partner greedily but voluntarily relinquished all licenses but at the end of the day it was Red Rock's partner who scr*wed them over by handing those licenses back and quite rightly Red Rock are trying to get a share of any $15 million.

I know some may not like this but maybe that VUP voluntarily relinquished those licenses meant Gecamines got those licenses legally. So what Gecamines then sold them on for is nothing to do with Red Rock.

I'm sorry News you need a fact checker on your facts because a couple of months ago Power Metals Sean Wade said that Red Rock's bid was a good evaluation and the Red Rock bid was considerably more than the value held in POW's books.

From the above video i have transcripted what Sean Wade said to an investor on why he's willing to sell.

The bid is there at this point. It's a good evaluation. It's considerably more than it's held in our books."

From 10th June RNS:

"The Kilmore Project is situated on RRAL tenements EL007329 and EL007460 which were approved on the 23rd of March 2020 and 24th of July 2023 respectively, with a 5-year initial term."

News what a load of rubbish the above are not worth £12 million!

The Kilmore EL007329 licence was issued in March 2020 and so just a few months before it's first 5 year licence term ends. What have the RRAL JV done on that licence these past 50 months?

No because in todays RNS the RRR chairman comments:

From today's RNS. Fatty says:

"We have the backing of major shareholders for our cash commitments under this transaction including the first cash payment of £250,000 due two months after Completion."

...

So to me that says that the 166,666,667 will not be £250,000 in 0.15p shares.

I guess we will soon find out.

Today's 12th June RNS says:

3) "The Company delivering 166,666,667 new shares in Red Rock and accompanying warrants exercisable at 0.25p per share in Red Rock to the vendor"

Original 13th March RNS says:

(b): "Upon the approval by shareholders of Red Rock of the ISC, the payment by Red Rock to POW of £250,000 to be settled by the issue of 166,666,667 new Ordinary Shares of Red Rock ("Shares") at a price of 0.15 pence per Share, or cash (at Red Rock's election) and 166,666,667 warrants each exercisable into one Share at a price of 0.25p per Share and exercisable during a period expiring 3 years after the date of their issue"

Answer:

Today the £250,000 paid to POW in 0.15p shares was missing from today's RNS.

So i would say zero chance Power Metals will be getting £250,000 in 0.15p Red Rock shares.
